1. Acceptance and eligibility
These Terms of Use ('Terms') govern your access to and use of the website at www.physicore.ai and any subdomains operated by Physicore Limited (the 'Site'). By accessing or using the Site you agree to be bound by these Terms. If you do not agree, do not use the Site.
The Site is intended for business users aged 18 or over. By using the Site you represent that you meet these requirements and that, where you act on behalf of an organisation, you are authorised to bind that organisation to these Terms.
2. Definitions
In these Terms, the following words have the meanings given below.
- 'Physicore', 'we', 'us' and 'our' mean Physicore Limited, a company incorporated in England and Wales with registered office at 1 Kingdom Street, London W2 6BD.
- 'Content' means all text, graphics, images, audio, video, code, datasets, documentation, software and other materials made available on the Site.
- 'Marks' means the trade marks, service marks, trade names, logos and brand elements of Physicore, including 'Physicore', 'Playground', 'Fieldforce', 'Bedrock' and 'The Standard', whether or not registered.
- 'Services' means any product, dataset, validation service or other offering described on the Site. Provision of Services is governed by a separate written agreement and not by these Terms.
- 'You' and 'your' mean the natural or legal person accessing the Site.
3. Licence to use the Site
Subject to your compliance with these Terms, Physicore grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and view the Site and its Content for your internal business or personal information purposes only. No other rights are granted, by implication, estoppel or otherwise.
4. Acceptable use
You must not, and must not permit any third party to:
- use the Site in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms;
- copy, reproduce, republish, frame, mirror, scrape, harvest, download (other than page caching), modify or distribute any Content other than as expressly permitted in writing;
- use any data mining, robot, spider or similar automated extraction tool, or train any machine learning model on the Content, without our prior written consent;
- circumvent or attempt to circumvent any access controls, rate limits, security measures or technological protections;
- introduce any virus, worm, trojan, logic bomb or other material that is malicious or technologically harmful;
- impersonate any person or entity or misrepresent your affiliation with any person or entity;
- interfere with the proper working of the Site, place an unreasonable load on our infrastructure, or attempt to gain unauthorised access to any system or account;
- use the Site to send unsolicited communications or for any infringing, defamatory, obscene, abusive or harassing purpose.
We may suspend, restrict or terminate your access at any time and without notice where we reasonably believe you have breached these Terms or where suspension is necessary to protect the Site, our users, or our legal interests.
5. Intellectual property
All right, title and interest in and to the Site, the Content, the Marks and the Services, including all intellectual property rights, are and remain the sole property of Physicore or its licensors. Without limitation, the names 'Physicore', 'Playground', 'Fieldforce', 'Bedrock' and 'The Standard', and any associated logos, are Marks of Physicore. You acquire no right, title or interest in or to any of the foregoing except for the limited licence in clause 3.
Datasets produced, curated and licensed by Physicore, including all derivatives, annotations, schemas, metadata and supporting materials, are the proprietary property of Physicore and are made available only under separate written licence terms. Nothing on the Site grants any right to use, reproduce, train models on, or otherwise exploit any Physicore dataset.
You may not remove, obscure or alter any copyright, trade mark, patent or other proprietary notice on the Site or in the Content.
6. No reliance; no warranty
The Site and the Content are provided for general information purposes only. While we take reasonable care to keep the Content accurate and up to date, we make no representations or warranties of any kind, express or implied, as to the accuracy, completeness, currency, reliability or fitness for any particular purpose of the Site or the Content.
To the maximum extent permitted by law, the Site and the Content are provided 'as is' and 'as available'. We expressly disclaim all warranties, conditions and other terms (whether express, implied, statutory or otherwise), including any implied warranty of satisfactory quality, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
You should obtain professional or specialist advice before taking, or refraining from, any action on the basis of the Content.
7. Limitation of liability
Nothing in these Terms limits or excludes our liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any other liability that cannot lawfully be limited or excluded.
Subject to the preceding paragraph, and to the maximum extent permitted by law, Physicore (including its officers, directors, employees, agents, affiliates and licensors) shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any:
- loss of profits, revenue, business, opportunity, goodwill, anticipated savings, contracts or use;
- loss or corruption of data;
- any indirect, special or consequential loss, however arising,
arising out of or in connection with the use of, or inability to use, the Site or the Content.
Subject to the foregoing, our total aggregate liability arising out of or in connection with the Site and these Terms shall not exceed one hundred pounds sterling (GBP 100). Liability arising under a separate written agreement for Services is governed by that agreement.
8. Indemnity
You agree to indemnify, defend and hold harmless Physicore, its affiliates, officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Site or the Content, or your violation of any applicable law or third party right.
9. Third party links and content
The Site may contain links to third party websites, resources or services. Such links are provided for convenience only. We do not control, endorse or assume responsibility for any third party content or for the practices of any third party. Your dealings with any third party are solely between you and the third party.
10. Confidentiality of enquiries
We treat partnership, customer and contributor enquiries received via the Site as confidential to the extent reasonably practicable and disclose them only on a need to know basis within Physicore, to our professional advisers, or where required by law. We may use the substance of any enquiry to evaluate the opportunity and to respond to you. You should not include sensitive information in an initial enquiry; a non-disclosure agreement can be put in place before exchanging confidential information.
11. Privacy
Our processing of personal data in connection with the Site is described in our Privacy Policy at /privacy, which forms part of these Terms.
12. Changes to these Terms
We may amend these Terms from time to time by posting a revised version on the Site. The 'Last updated' date indicates when the amendments took effect. Your continued use of the Site after the effective date constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Site.
13. General
- Assignment. You may not assign, transfer or sub-contract any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without your consent.
- Severability. If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
- No waiver. No failure or delay by us in exercising any right or remedy shall operate as a waiver of that right or remedy.
- Entire agreement. These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and us in relation to the Site and supersede any prior agreement or understanding in relation to the same subject matter.
- No partnership or agency. Nothing in these Terms creates any partnership, agency or joint venture between you and us.
- Third party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their provisions.
14. Governing law and jurisdiction
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter or formation, are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, save that we reserve the right to bring proceedings against you for breach of these Terms in your country of residence or any other relevant country.
